These SMS Terms & Conditions govern text messages sent by or on behalf of Woodbury and Ybarra, PLLC (“Woodbury and Ybarra,” “the Firm,” “we,” “us,” or “our”).
By affirmatively opting in to receive text messages from Woodbury and Ybarra, you agree to these SMS Terms & Conditions.
1. SMS Messaging Program
Woodbury and Ybarra may use SMS or text messaging to communicate with prospective clients, current clients, former clients, and other individuals who have consented to receive text messages from the Firm.
Messages may include communications regarding:

Requests for legal services or consultations;

Appointment scheduling, confirmations, and reminders;

Follow-up regarding inquiries submitted to the Firm;

Client intake and onboarding;
-
Requests for information or documents;
-
Updates regarding an inquiry, consultation, or legal matter;

Deadlines, appointments, or administrative matters;
-
Notifications regarding documents or information available through the Firm’s systems;
-
Follow-up communications from attorneys or Firm staff; and
-
Other communications reasonably related to legal services requested from or provided by the Firm.
The Firm may use third-party technology and service providers to assist with client intake, communications, practice management, matter administration, document management, and related business operations.
Message frequency varies based on your interactions with the Firm, the nature of your inquiry or legal matter, and the services you request.
2. Consent to Receive Text Messages
You may consent to receive text messages from Woodbury and Ybarra through one or more methods, including:

Selecting an SMS consent option on a website, intake form, consultation form, or other electronic form;

Providing consent through a Firm intake or communication system;
-
Giving verbal consent to an attorney or member of the Firm’s staff;
-
Providing written consent through an engagement agreement, intake document, paper form, or other written communication;

Requesting that the Firm communicate with you by text message;
-
Responding affirmatively to an invitation from the Firm to communicate by text; or
-
Other methods through which you clearly and voluntarily authorize the Firm to communicate with you by SMS.
By affirmatively opting in, you authorize Woodbury and Ybarra to send text messages to the mobile telephone number you provided.
Your consent applies only to communications from Woodbury and Ybarra or service providers acting on the Firm’s behalf.
Consent to receive text messages is not a condition of retaining Woodbury and Ybarra, purchasing legal services, or receiving legal services from the Firm.
Where an SMS consent checkbox or similar electronic control is presented, SMS consent should be separate from acceptance of unrelated agreements, policies, or terms.
You may choose to communicate with the Firm through other available methods instead of text messaging.
3. Message and Data Rates
Message and data rates may apply.
Your wireless carrier may charge you for sending or receiving text messages or using mobile data according to the terms of your wireless service plan.
Woodbury and Ybarra does not charge a separate fee for participating in its SMS messaging program.
4. Message Frequency
Message frequency varies.
The number and timing of messages you receive will depend on your relationship and communications with Woodbury and Ybarra.
For example, a prospective client may receive messages concerning a consultation or intake process, while an existing client may receive messages relating to appointments, documents, administrative matters, or an ongoing legal matter.
Woodbury and Ybarra does not guarantee that you will receive any particular number of messages.
5. Opting Out
You may opt out of text messages at any time by replying STOP.
You may also use other commonly recognized opt-out terms where supported by the messaging platform, such as UNSUBSCRIBE, END, QUIT, or CANCEL.
After you submit an opt-out request, you may receive a final confirmation message informing you that you have been unsubscribed.
Following confirmation of your opt-out request, you will no longer receive text messages through that SMS messaging program unless you later provide consent to receive messages again.
Opting out of SMS communications:

Does not terminate an existing attorney-client relationship;
-
Does not affect your obligations under an engagement agreement;
-
Does not prevent the Firm from communicating with you by telephone, email, mail, client portal, or other appropriate means; and
-
Does not prevent communications that may otherwise be legally required or authorized.

7. Message Delivery
Carriers are not liable for delayed or undelivered messages.
Delivery of SMS messages depends on your wireless carrier, telecommunications networks, internet and technology providers, and other systems outside the control of Woodbury and Ybarra.
Woodbury and Ybarra does not guarantee that a text message will:

Be successfully delivered;
-
Be delivered within a particular period of time;
-
Be read by the intended recipient; or
-
Remain available on your device.
You are responsible for keeping your contact information current with the Firm.
8. Confidentiality and Security of Text Messages
Text messaging can be convenient, but standard SMS communications may not provide the same level of security as certain other communication methods.
You should use reasonable care when communicating confidential or sensitive information by text message.
Unless specifically requested or instructed by the Firm, you should not send particularly sensitive information through SMS, including:

Social Security numbers;

Full financial account or credit card numbers;

Passwords or login credentials;
-
Highly sensitive medical information;
-
Tax identification numbers;
-
Copies of government-issued identification;
-
Confidential financial records; or
-
Other information that could create a significant risk if intercepted or accessed by an unauthorized person.
Woodbury and Ybarra may ask you to submit documents or sensitive information using another method, including a secure client portal or other secure communication channel.
If you choose to communicate with the Firm through SMS, you acknowledge that text messages may appear on your device and may potentially be viewed by anyone who has access to that device or your messaging account.
9. No Attorney-Client Relationship Created by Text Messaging
Sending a text message to Woodbury and Ybarra, submitting an inquiry, participating in an initial consultation, or receiving a response from the Firm does not by itself create an attorney-client relationship.
An attorney-client relationship is created only when Woodbury and Ybarra agrees to represent you and the Firm’s applicable engagement requirements have been completed.
Do not assume that Woodbury and Ybarra represents you merely because you have communicated with the Firm by text, telephone, email, website form, or another method.
10. Do Not Use Text Messaging for Emergencies or Legal Deadlines
Do not rely on SMS communications to:

Establish an attorney-client relationship;
-
Meet or extend a statute of limitations;
-
Satisfy a court deadline;
-
File a pleading or other document;
-
Provide formal legal notice;
-
Communicate an emergency; or
-
Deliver time-sensitive instructions when immediate confirmation is necessary.
If a matter is urgent, contact the Firm directly by telephone at 801-203-0297 and use any other communication method the Firm has instructed you to use.
11. Automated or Technology-Assisted Messaging
Some messages from Woodbury and Ybarra may be generated, scheduled, routed, or delivered using technology platforms or automated systems operated by the Firm or by service providers acting on the Firm’s behalf.
By consenting to SMS communications, you authorize the Firm to use such technology to deliver messages within the scope of your consent.
The use of automated technology does not change your right to opt out at any time.
12. Supported Carriers and Devices
SMS availability may depend on your wireless carrier, geographic location, mobile device, service plan, and other technical factors.
Not all carriers or devices necessarily support all messaging features.
Woodbury and Ybarra is not responsible for limitations imposed by your wireless carrier, device, telecommunications provider, or other third party.
13. Your Responsibilities
If you consent to SMS communications, you agree to:

Provide a telephone number that you are authorized to use;

Notify the Firm if your mobile telephone number changes;
-
Protect access to your mobile device when confidential communications may be received;
-
Inform the Firm if you believe a message has been sent to the wrong person; and
-
Avoid sending information through SMS when the Firm has instructed you to use another communication method.
If a telephone number previously associated with you is reassigned to another individual, you should notify the Firm promptly.
14. Privacy
Information collected through the Firm’s SMS messaging program is handled in accordance with the Firm’s Privacy Policy.
Mobile telephone information and SMS opt-in data and consent will not be sold, rented, or shared with third parties or affiliates for their own marketing or promotional purposes.
The Firm may disclose information to service providers acting on its behalf as reasonably necessary to operate its communications and business systems.

15. Changes to SMS Services or These Terms
Woodbury and Ybarra may modify, suspend, or discontinue some or all of its text messaging services at any time.
The Firm may also change the technology providers or service providers used to deliver SMS communications.
Woodbury and Ybarra may revise these SMS Terms & Conditions from time to time. Changes will be posted on the Firm’s website, and the “Last Updated” date above will identify the most recent revision.
16. Governing Law
These SMS Terms & Conditions are governed by the laws of the State of Utah, without regard to conflict-of-law principles, except to the extent otherwise required by applicable law.
Nothing in this provision alters any governing-law, venue, arbitration, or dispute-resolution provision contained in a separate engagement agreement between a client and Woodbury and Ybarra.
17. Severability
If any provision of these SMS Terms & Conditions is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
